The Kidpreneur Club ("we," "our," or "us") provides website features and access to programs, products, and services when you visit www.thekidpreneurclub.com, use The Kidpreneur Club products or services, or use applications and software provided by The Kidpreneur Club in connection with the foregoing (collectively, "The Kidpreneur Club Services"). These services are provided subject to the following conditions.

Agreeing to These Terms & Conditions

We offer a range of services depending on your needs. Individuals come to The Kidpreneur Club to access and purchase digital content and online courses on behalf of their minor children. These Terms and Conditions apply to all users. If these Terms are inconsistent with specific Service Terms, those Service Terms will apply.

THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES AND LIMITATIONS OF LIABILITIES INCLUDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS THAT WAIVE YOUR RIGHT TO A COURT HEARING, RIGHT TO A JURY TRIAL, AND RIGHT TO PARTICIPATE IN A CLASS ACTION. ARBITRATION IS MANDATORY AND IS THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES UNLESS SPECIFIED BELOW.

We offer the Website including all information, tools, and services to you conditioned upon your acceptance of all terms stated herein. By accessing, using, or placing an order, you agree to the terms set forth. If you do not agree to these Terms in their entirety, you are not authorized to use the Website.

THIS IS A BINDING AGREEMENT. THESE TERMS, TOGETHER WITH OUR PRIVACY STATEMENT, FORM A LEGALLY BINDING AGREEMENT BETWEEN YOU AND THE KIDPRENEUR CLUB. THIS AGREEMENT GOVERNS YOUR ACCESS TO AND USE OF THE WEBSITE AND THE SERVICES PROVIDED BY THE KIDPRENEUR CLUB.

The Kidpreneur Club reserves the right to update these Terms by posting changes to our Website. It is your responsibility to check this page periodically. Use of the Website after such changes constitutes acceptance.

Section 1 — Website Use

The Website is intended for use by adults who are purchasing and managing access on behalf of their minor children. By using the Website, you affirm that you are at least 18 years old or the legal age of majority in your jurisdiction (whichever is greater), have the legal capacity to enter into a binding contract with us, and have read and agree to this Agreement. You further affirm that you are the parent or legal guardian of any minor child who will be participating in The Kidpreneur Club programs.

Section 1B — Minor Participants: Parental Consent, Children's Privacy, and Minor's Content & Likeness

Parental Consent & Responsibility

The Kidpreneur Club programs are designed for minor children and are purchased and managed by their parents or legal guardians. By completing a purchase, you confirm that you are the parent or legal guardian of the child who will be participating in the program, and you provide your full and informed consent for your child to participate in all program activities, including but not limited to video lessons, coaching calls, community interactions, and any live or recorded sessions.

As the parent or legal guardian, you are solely responsible for:

Supervising your child's use of the Website and program materials

Ensuring your child's participation is appropriate for their age, maturity, and readiness

Monitoring your child's interactions within any community, group, or coaching environment provided as part of the program

Ensuring that any information your child submits or shares during the program is done with your knowledge and approval

The Kidpreneur Club is not responsible for unsupervised use of the platform by minors. We strongly encourage parents and guardians to remain actively involved in their child's learning experience.

Children's Privacy

The Kidpreneur Club takes the privacy of children seriously. We comply with applicable Canadian privacy legislation, including the Personal Information Protection and Electronic Documents Act (PIPEDA), as well as any applicable provincial privacy laws. For customers located in the United States, we also comply with the Children's Online Privacy Protection Act (COPPA) where applicable.

We do not knowingly collect personal information directly from children under the age of 13 without verifiable parental consent. All accounts are created and managed by the parent or legal guardian, and any personal information associated with a child's participation is collected through the parent or guardian's account.

If you believe that your child has submitted personal information without your knowledge or consent, please contact us immediately using the contact information in Section 24 and we will promptly review and, where appropriate, delete such information.

Personal information collected in connection with a child's participation in our programs may include:

The child's first name (as provided by the parent or guardian)

Program progress and participation records

Homework submissions and coaching call attendance

Any content voluntarily submitted by the parent or guardian on behalf of the child

We do not sell, rent, or share children's personal information with third parties for marketing purposes. Please refer to our Privacy Statement for full details on how we collect, use, and protect personal information.

Minor's Content & Likeness

From time to time, The Kidpreneur Club may wish to feature the work, achievements, stories, photos, or videos of student participants for marketing, promotional, or educational purposes — including but not limited to use on our Website, social media channels, email communications, and other promotional materials.

By completing a purchase and agreeing to these Terms, you as the parent or legal guardian grant The Kidpreneur Club a royalty-free, worldwide, non-exclusive license to use, reproduce, publish, and distribute your child's name (first name only), likeness, voice, image, program work, testimonials, and success stories in any media, for the purposes of marketing and promoting The Kidpreneur Club, unless you notify us in writing that you do not consent to such use.

If you do not wish for your child's likeness or work to be used for promotional purposes, you may opt out at any time by contacting us using the contact information in Section 24. Opting out will not affect your child's participation in the program or any other rights under these Terms.

Any content featuring a minor will be used respectfully, will not include personally identifying information beyond a first name, and will not be used in any context that could be considered harmful, exploitative, or inappropriate.

Section 2 — Website User Conduct and Restrictions — License Terms

All aspects of our Website are protected by copyright, trademark, and other intellectual property laws, including all content, design elements, text, logos, images, testimonials, video and audio clips, and downloads. No material may be copied, reproduced, distributed, republished, posted, or transmitted without written permission.

Subject to your continued compliance with these Terms, The Kidpreneur Club grants you a revocable, limited, non-exclusive, royalty-free, non-transferable license to use the Website and any purchased course materials for your own personal, non-commercial use. You acknowledge that you do not acquire any ownership rights in any protected material.

You agree not to:

Copy, reproduce, distribute, or create derivative works from course content

Share, resell, or redistribute access credentials or course materials

Screen-record, download, or scrape course content without permission

Use the Website in any unlawful, deceptive, or harmful manner

Introduce malicious code or interfere with the Website's security or operation

Use course content to build a competing product or service

Section 3 — Our Privacy Statement and Your Personal Information

We respect your privacy. Your submission of personal information through the Website is governed by our Privacy Statement, available on our Website. Our Privacy Statement is incorporated into this Agreement by reference.

Section 4 — Information You Provide; Registration; Passwords

As a user, you will be required to create an account. You warrant that the information you provide is truthful and accurate. You are responsible for maintaining the confidentiality of your password and agree not to transfer access to your account to any third party. You are fully responsible for all activity that occurs under your account.

Section 5 — Order Placement and Acceptance

Payment must be received before your order is accepted. We may require additional information or cancel an order if required information is missing or inaccurate. Your electronic order confirmation does not signify our final acceptance of your order.

We reserve the right to limit sales to any person, geographic region, or jurisdiction at our sole discretion.

Section 6 — Refund Policy

Our Commitment to You

At The Kidpreneur Club, we are committed to delivering real value. We stand behind our programs and believe that when you show up fully, follow the process, and do the work, you will achieve the results we promise. That's why we offer a good-faith results-based guarantee.

Our Good Faith Guarantee

If you have completed all required homework assignments, attended all coaching calls, and reached out for support throughout the program — and you still have not achieved the guaranteed result — you are eligible to request a full refund. We mean it: if you do the work and it doesn't work, we will make it right.

To be eligible for a refund under our Good Faith Guarantee, you must:

Have completed 100% of all assigned homework and program materials

Have attended all scheduled coaching calls

With proof of all worksheets, milestone and projects completed

Have reached out to our support team at least once during the program when you encountered a challenge or needed guidance

Submit your refund request within 30 days of the program end date

Provide documented evidence of completion (homework submissions, attendance records, and support communications)

To submit a refund request, please contact us using the contact information listed in Section 24 with the subject line: "Good Faith Refund Request — [Your Order Number]"

We will review all refund requests within 5 business days. The Kidpreneur Club reserves the right to verify completion of all requirements before approving any refund. Our determination is final.

Refund requests will not be considered if:

Any homework assignments were incomplete or not submitted

One or more coaching calls were missed without prior notice

No support was requested during the program

The request is submitted more than 30 days after the program end date

Course content has been shared, redistributed, or used in violation of these Terms

The account has been involved in any fraudulent activity or chargebacks

Chargebacks and Disputes

Before initiating a chargeback or payment dispute with your bank or credit card provider, we strongly encourage you to contact us first using the contact information listed in Section 24. We are committed to resolving issues directly and promptly. Initiating a chargeback without first contacting us may result in immediate suspension of your account and forfeiture of all access to course materials.

Any fraudulent or bad-faith chargebacks will be disputed and reported. The Kidpreneur Club reserves the right to pursue all available legal remedies in the event of fraudulent chargebacks.

Section 7 — Products, Services, and Prices

Products, services, and prices are posted at www.thekidpreneurclub.com but are subject to change. The Kidpreneur Club reserves the right, without prior notice, to discontinue products or modify specifications and prices without incurring any obligation to you.

Section 8 — Disclaimer — Your Individual Results Will Vary

Every individual and business is different. The Kidpreneur Club does not promise, guarantee, or warrant your success with the course content beyond the specific guaranteed result described in Section 6. Your results will vary depending upon factors unique to your situation, including but not limited to your effort, your child's engagement, existing skills, time invested, and how you implement what you learn.

YOUR INDIVIDUAL RESULTS WILL VARY. WE DO NOT MAKE EARNINGS CLAIMS, EFFORT CLAIMS, OR RETURN ON INVESTMENT CLAIMS BEYOND THE SPECIFIC GUARANTEE OUTLINED IN SECTION 6. IT IS POSSIBLE THAT YOU MAY NOT ACHIEVE YOUR DESIRED RESULTS.

Section 9 — Your Responsibilities

You represent and warrant that you will use our products and services only for lawful purposes. You are solely responsible for complying with all applicable laws and regulations, including laws governing advertising, marketing, and intellectual property. You are also responsible for ensuring your child's participation complies with all applicable laws. The Kidpreneur Club shall not be responsible for your compliance or non-compliance with any laws.

Section 10 — Testimonials, Reviews, and Media

The Kidpreneur Club may use testimonials and product reviews, in whole or in part, along with the name and location of the person submitting them, for marketing and promotional purposes. Testimonials represent the unique experience of participants and do not guarantee the same results for all users. For testimonials involving minor participants, the consent provisions outlined in Section 1B apply.

By submitting a testimonial, photo, or other content to The Kidpreneur Club, you grant us a royalty-free, worldwide, perpetual, non-exclusive, irrevocable license to use, reproduce, modify, publish, and distribute such content in any media.

Section 11 — Compliance with the Law

You must comply with all applicable laws including but not limited to laws prohibiting deceptive advertising, anti-spam legislation, email marketing laws, laws governing testimonials, intellectual property, and privacy. You agree to indemnify and defend The Kidpreneur Club from any claims arising out of your violation of law or third-party rights.

Section 12 — Disclaimers of Other Warranties

EXCEPT WHERE OTHERWISE PROHIBITED BY LAW, THE WEBSITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS," "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE KIDPRENEUR CLUB MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, ACCURACY, OR COMPLETENESS OF ANY INFORMATION ON THIS WEBSITE.

Section 13 — Limitations of Liabilities

IN NO EVENT SHALL THE KIDPRENEUR CLUB OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT, THE SERVICES, OR YOUR USE OF THE WEBSITE, REGARDLESS OF WHETHER THE KIDPRENEUR CLUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Section 14 — Dispute Resolution by Mandatory Binding Arbitration and Class Action Waiver

PLEASE READ THIS ARBITRATION PROVISION CAREFULLY. EXCEPT WHERE PROHIBITED BY LAW, YOU AGREE THAT ANY CLAIM YOU MAY HAVE IN THE FUTURE MUST BE RESOLVED THROUGH FINAL AND BINDING CONFIDENTIAL ARBITRATION. YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY AND YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION.

If you have a complaint or dispute, you agree to first contact us using the contact information in Section 24 to attempt to resolve the dispute informally. Any claim that cannot be resolved informally within 60 days shall be resolved by binding, confidential arbitration conducted in Vancouver, Canada, unless both parties agree to conduct the arbitration by telephone or written submissions.

You and we agree that disputes will only be arbitrated on an individual basis and shall not be consolidated on a class-wide or representative basis. All claims must be brought within 1 year after the claim arises.

Section 15 — Additional Remedies

Notwithstanding Section 14, The Kidpreneur Club shall have the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights or other proprietary rights.

Section 16 — Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless The Kidpreneur Club, its directors, officers, employees, and agents from and against any claims, liabilities, damages, expenses, and costs, including attorneys' fees, arising out of your use of the Website, your child's participation in the program, your breach of these Terms, or your violation of any law or the rights of a third party.

Section 17 — Third-Party Links

The Website may contain links to other websites. The Kidpreneur Club assumes no responsibility for the content or functionality of any third-party website to which we provide a link.

Section 18 — Termination

This Agreement takes effect at the time you complete your purchase or begin accessing the Website. If, in our sole discretion, you fail to comply with any term of this Agreement or violate any law, we may terminate the Agreement or suspend your access at any time without notice. Upon termination, you remain responsible for any outstanding payments.

Section 19 — Governing Law and Venue

This Agreement and any disputes arising out of or related to this Agreement shall be governed exclusively by the laws of the Province of British Columbia, Canada, without regard to its conflicts of laws principles. To the extent any claim is excluded from arbitration, the parties agree such claim shall be exclusively brought in courts located in Vancouver, Canada.

Section 20 — Electronic Signature

When you communicate with The Kidpreneur Club through the Website or via email, you are communicating electronically. You agree that electronic communications, notices, and disclosures are equivalent to communications in writing and shall have the same force and effect as if signed in writing.

Section 21 — Changes to the Agreement

We reserve the right, at our sole discretion, to update or change any part of the Agreement by posting changes to our Website. Your continued use of the Website following any changes constitutes acceptance of those changes.

Section 22 — Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Section 23 — Entire Agreement

These Terms, together with our Privacy Statement and any policies posted on the Website, constitute the entire agreement between you and The Kidpreneur Club and supersede any prior agreements, representations, or communications between you and The Kidpreneur Club.
